Terms & Conditions

Effective Date: October 1, 2026

These Terms and Conditions (“Terms”) govern your access to and use of vanir3pl.com and any related webpages, forms, portals, and online tools made available by Vanir 3PL LLC (collectively, the “Site”).

The Site is operated by Vanir 3PL LLC, an Arizona limited liability company (“Vanir 3PL,” “Vanir,” “we,” “us,” or “our”).

1. Acceptance of Terms

By accessing or using the Site, you agree to these Terms and our Privacy Policy. If you do not agree, you should not use the Site.

If you access or use the Site on behalf of a company or other organization, you represent that you have authority to act on behalf of and bind that organization.

The Site is intended for business users and individuals who are at least 18 years old.

2. Website Terms and Logistics Services

These Terms govern use of the Site. They do not establish the terms applicable to warehousing, storage, fulfillment, transportation, freight coordination, returns processing, cross-border logistics, supply chain services, or other services provided by Vanir 3PL.

Those services are governed by the applicable written service agreement, rate sheet, statement of work, work order, warehouse receipt or warehouse terms, quote, or other terms accepted by Vanir 3PL and the client.

If these Terms conflict with an applicable signed service agreement, the signed service agreement controls with respect to the services covered by that agreement.

Nothing on the Site, including submission of a quote request or contact form, creates a bailment, warehouse relationship, contract of carriage, or obligation for Vanir 3PL to receive, store, handle, transport, or ship goods.

3. Permitted Use

You may use the Site for legitimate business purposes, including learning about our services, requesting information or quotes, communicating with Vanir 3PL, and accessing client tools made available to you.

You may not:

  • Use the Site for any unlawful, fraudulent, or unauthorized purpose.
  • Violate applicable customs, import/export, trade, or sanctions laws.
  • Submit false, misleading, fraudulent, or unauthorized information.
  • Attempt to access another client’s account, inventory information, orders, documents, or data.
  • Attempt to gain unauthorized access to our Site, servers, systems, networks, or third-party systems.
  • Upload, transmit, or introduce malware, malicious code, or other harmful material.
  • Interfere with the security, availability, or normal operation of the Site.
  • Scrape, harvest, crawl, or data-mine the Site through automated means without our written authorization.
  • Copy, reproduce, frame, resell, or commercially exploit any portion of the Site without our written permission.

We may restrict, suspend, or terminate access to the Site or client tools when reasonably necessary to protect Vanir 3PL, our clients, our systems, or third parties.

4. Quotes, Pricing, and Site Information

Information displayed on the Site concerning services, capabilities, warehouse space, shipping, transit times, pricing, service areas, integrations, or other operational matters is provided for general informational purposes.

Unless expressly stated otherwise in writing, information on the Site does not constitute a binding offer.

Quotes and estimates are based on the information provided to us by the prospective client. Final pricing may change if actual inventory, pallet dimensions, weights, order volumes, handling requirements, transportation requirements, storage requirements, or other operating conditions differ from the information originally provided.

Unless a quote specifies otherwise, quotes are valid for 30 days.

Pricing becomes binding only when accepted in accordance with the applicable quote, rate sheet, service agreement, work order, or other written agreement between Vanir 3PL and the client.

Vanir 3PL may modify the Site, services, capabilities, or published information at any time.

References to carriers, vendors, technology providers, business partners, certifications, industry programs, or third-party services do not constitute a guarantee of availability, performance, delivery time, certification status, or a particular result unless expressly stated otherwise in writing.

5. Client Accounts, WMS, and Online Tools

Vanir 3PL may provide clients with access to warehouse management systems (“WMS”), dashboards, portals, communication platforms, integrations, APIs, webhooks, automated notifications, or other online tools.

Some tools may be operated by third-party providers and may also be subject to their respective terms and privacy policies.

Clients are responsible for:

  • Maintaining the confidentiality and security of usernames, passwords, API credentials, and other account credentials.
  • Restricting account access to authorized personnel.
  • Activities performed through their accounts or credentials.
  • Promptly notifying Vanir 3PL of suspected unauthorized access or security incidents.

Inventory quantities, order statuses, shipment statuses, tracking information, estimated delivery dates, and other information displayed through online systems may occasionally be delayed, incomplete, or inaccurate due to system synchronization, carrier updates, data transmission delays, human error, or other circumstances.

Where a discrepancy exists, applicable warehouse records, receiving documentation, shipping documentation, physical inventory records, bills of lading, proofs of delivery, and the applicable service agreement will control as appropriate.

Clients should contact Vanir 3PL directly to confirm urgent, high-value, or time-sensitive matters.

6. Automated and AI-Assisted Tools

Vanir 3PL may use automation, artificial intelligence, or similar technologies to assist with customer support, inventory inquiries, shipment information, document processing, notifications, or other administrative functions.

Information generated by automated or AI-assisted systems is provided for convenience and may contain errors, delays, or incomplete information.

Automated responses do not amend service agreements, authorize transactions, guarantee inventory availability, guarantee shipment or delivery dates, or otherwise create binding commitments unless expressly confirmed by an authorized Vanir 3PL representative.

7. Electronic Communications and Instructions

You may communicate with Vanir 3PL through email, website forms, WMS tools, integrations, APIs, webhooks, shared communication platforms, or other electronic systems.

You are responsible for ensuring that instructions submitted through your account or authorized communication channels are accurate and submitted by authorized personnel.

Electronic communications may experience delays, outages, transmission failures, or other technical issues. If an instruction is urgent or time-sensitive, you are responsible for confirming receipt with Vanir 3PL.

Vanir 3PL is not responsible for delays or losses caused solely by a client’s failure to provide complete or accurate instructions or by communication failures outside Vanir 3PL’s reasonable control.

8. Intellectual Property

The Site and its content, including text, graphics, logos, photographs, designs, software, page layouts, trademarks, service marks, and the Vanir 3PL name and branding, are owned by Vanir 3PL or its licensors and are protected by applicable intellectual property laws.

You may view, download, or print Site materials for legitimate internal business evaluation purposes.

You may not reproduce, distribute, modify, publish, sell, license, create derivative works from, or commercially exploit Site content without our prior written permission.

9. Information and Feedback You Provide

You are responsible for ensuring that information submitted through the Site is accurate and that you have the right to provide it.

If you provide suggestions, comments, or general feedback concerning the Site or our services, Vanir 3PL may use that feedback to improve its operations and services without compensation or obligation to you.

Do not submit sensitive, proprietary, or confidential information through general website contact forms unless specifically requested.

Client confidential information received in connection with logistics services will be handled according to the applicable service agreement and privacy obligations.

10. Third-Party Websites and Services

The Site may contain links to third-party websites or services, including carriers, payment processors, warehouse technology providers, software platforms, social media services, and other business partners.

These third-party services are independently operated.

Vanir 3PL does not control and is not responsible for third-party websites, their availability, content, security, terms, privacy practices, or performance.

Use of third-party services is subject to the terms established by those providers.

11. Site Availability and Security

We work to maintain the availability and security of the Site but cannot guarantee continuous or uninterrupted access.

The Site or related systems may occasionally be unavailable because of maintenance, software updates, internet outages, third-party provider failures, cybersecurity incidents, equipment failures, or circumstances outside our reasonable control.

Vanir 3PL does not guarantee that the Site, WMS integrations, APIs, webhooks, email notifications, or other electronic systems will operate without interruption, delay, or error.

Clients remain responsible for communicating urgent shipping or warehouse instructions through appropriate alternative channels when electronic systems are unavailable.

12. Disclaimer of Warranties

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VANIR 3PL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, RELATING TO THE SITE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

VANIR 3PL DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, ACCURATE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

Nothing in this section changes warranties or obligations expressly established in a separate written service agreement.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VANIR 3PL AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO USE OF THE SITE, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, OR LOST DATA.

TO THE FULLEST EXTENT PERMITTED BY LAW, VANIR 3PL’S TOTAL LIABILITY FOR CLAIMS ARISING SOLELY FROM USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

This limitation applies only to claims relating to the Site.

Liability relating to inventory, merchandise, transportation, storage, handling, fulfillment, loss, damage, shortage, or other logistics services is governed by the applicable service agreement and other applicable service terms.

14. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Vanir 3PL and its members, managers, employees, contractors, representatives, and agents from claims, damages, losses, liabilities, and reasonable attorneys’ fees arising from:

15. Governing Law and Venue

These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-law principles.

To the extent permitted by applicable law, any legal action arising solely from or relating to the Site or these Terms must be brought in the applicable state or federal courts located in Maricopa County, Arizona, and each party consents to the jurisdiction and venue of those courts.

Disputes arising from warehousing, fulfillment, transportation, or other logistics services will be governed by the dispute provisions contained in the applicable service agreement.

16. Changes to These Terms

We may modify these Terms periodically.

When we make changes, we will post the revised Terms on the Site and update the Effective Date above.

Your continued use of the Site after revised Terms become effective constitutes acceptance of those revised Terms.

Changes to these website Terms do not modify an existing signed service agreement unless expressly agreed to by the parties.

17. General Provisions

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Vanir 3PL’s failure to enforce any provision of these Terms does not waive its right to enforce that provision later.

You may not assign or transfer your rights under these Terms without Vanir 3PL’s prior written consent.
